Terms of Service

Welcome to ProofIQ. These Terms of Service ("Terms") constitute a legally binding agreement between you — whether as an individual or on behalf of an entity ("you," "your") — and ProofIQ ("we," "us," "our"), governing your access to and use of the ProofIQ platform available at proofiqapp.com, including our AI-powered compliance automation tools Sentra, Verda, and Cora (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1. Eligibility & Account Registration
The Services are intended solely for use by businesses, telecommunications carriers, eligible telecommunications providers (ETPs), and authorized compliance professionals. By creating an account, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into these Terms.
- You are authorized to bind the entity on whose behalf you are acting.
- All registration information you provide is accurate, current, and complete.
- You will maintain the confidentiality of your account credentials and are fully responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
2. Description of Services
ProofIQ provides an AI-driven compliance automation platform purpose-built for the FCC/USAC Lifeline program. Our Services include, but are not limited to:
- Sentra — Automated eligibility audit engine that processes and verifies subscriber documentation in as little as 30 seconds.
- Verda — NLAD (National Lifeline Accountability Database) validation and cross-referencing tool for real-time compliance checks.
- Cora — Intelligent document analysis agent that extracts, classifies, and verifies eligibility documents against FCC requirements.
We continuously improve and update our Services. We reserve the right to modify, suspend, or discontinue any feature or functionality at any time, with or without notice. Material changes that affect your existing workflows will be communicated with reasonable advance notice.
3. Acceptable Use
You agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable federal, state, or local law — including, without limitation, FCC regulations and USAC program rules.
- Submit falsified, fabricated, or stolen documentation through the platform.
- Attempt to reverse-engineer, decompile, or disassemble any aspect of our AI models, algorithms, or proprietary technology.
- Resell, sublicense, or provide access to the Services to third parties without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Services or related systems.
- Use automated tools (bots, scrapers, etc.) to access the Services outside of approved API integrations.
Violation of these provisions may result in immediate account termination and may be reported to relevant regulatory or law enforcement authorities.
4. Data Handling & Security
Given the sensitive nature of Lifeline eligibility data, we treat data security as a first-order priority. Your use of the Services is also governed by our Privacy Policy.
By using the Services, you acknowledge and agree that:
- You have obtained all necessary consents and authorizations to submit subscriber data and eligibility documentation through ProofIQ.
- You are responsible for ensuring that data submitted complies with applicable privacy laws, including but not limited to the FCC's customer proprietary network information (CPNI) rules.
- ProofIQ processes submitted data exclusively for audit verification and compliance purposes. We do not sell, share, or use subscriber data for advertising or unrelated purposes.
We employ enterprise-grade encryption (in transit and at rest), access controls, and regular security audits to safeguard all data processed through our platform.
5. Intellectual Property
All rights, title, and interest in and to the Services — including but not limited to the ProofIQ platform, Sentra, Verda, and Cora AI agents, algorithms, machine learning models, user interface designs, documentation, and trademarks — are and shall remain the exclusive property of ProofIQ.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to full compliance with these Terms. No other rights are granted by implication, estoppel, or otherwise.
6. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, ProofIQ expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While our AI agents are designed for high accuracy, ProofIQ does not guarantee that audit results are error-free or that they constitute legal compliance advice. You remain solely responsible for your final enrollment, de-enrollment, and compliance decisions. ProofIQ is a compliance automation tool — not a substitute for qualified legal counsel or regulatory expertise.
7. Limitation of Liability
To the fullest extent permitted by law, in no event shall ProofIQ, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, data, business opportunities, or goodwill — arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability under these Terms shall not exceed the fees paid by you to ProofIQ during the twelve (12) months immediately preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless ProofIQ and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Services.
- Your violation of these Terms or any applicable law or regulation.
- Your submission of data that infringes upon the rights of any third party.
- Any regulatory action, fine, or penalty resulting from your non-compliance with FCC/USAC program rules.
9. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms or pose a risk to the security or integrity of our platform.
Upon termination, your right to access the Services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
10. Modifications to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through the platform. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
